Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the Nordlys platform, website, mobile applications, and services (collectively, the "Service") operated by Nordlys ApS ("Nordlys", "we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Service Description

Nordlys provides an indoor growing management platform that includes:

• Environmental monitoring and control (GrowOS) features
• AI-powered growing assistance and recommendations
• Plant nutrition products and feeding schedules
• Climate-controlled curing equipment
• Project tracking and analytics

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You must be at least 18 years old to create an account.

4. Subscriptions and Payments

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Details are available on our pricing page.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. Prices are in EUR and include applicable VAT.

4.3 Free Trial

New users may be eligible for a 14-day free trial. At the end of the trial, your subscription will automatically convert to a paid subscription unless cancelled.

4.4 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial periods.

5. Product Purchases

5.1 Orders

When you place an order for physical products (nutrients, equipment), you are making an offer to purchase. We may accept or decline your order at our discretion.

5.2 Shipping

We ship to select EU countries. Shipping costs and delivery times vary by location and are displayed at checkout.

5.3 Right of Withdrawal (Consumer Rights)

If you are a consumer in the EU, you have the right to withdraw from a purchase within 14 days without giving any reason (Consumer Rights Directive 2011/83/EU). To exercise this right, contact us at support@nordlys.io.

This right does not apply to sealed products which are not suitable for return due to health protection or hygiene reasons once unsealed.

6. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload or transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Impersonate any person or entity
• Use automated means to access the Service without our permission
• Resell or redistribute the Service without authorization

7. User Compliance with Laws

Nordlys is a general-purpose indoor growing platform. We do not endorse, encourage, or facilitate any illegal activities. You agree to use the Service only for lawful purposes, including growing legal crops such as vegetables, herbs, and ornamental plants.

8. AI Assistant Disclaimer

You acknowledge that:

• AI recommendations are informational and may not be accurate for your specific situation
• Results may vary based on many factors outside our control
• You are responsible for verifying any information before acting on it
• Nordlys is not liable for outcomes resulting from following AI recommendations

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Nordlys and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of content you upload to the Service but grant us a license to use, store, and display that content as necessary to provide the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
• We do not warrant that the Service will be uninterrupted, secure, or error-free
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim

These limitations do not affect your statutory rights as a consumer under EU law.

11. Indemnification

You agree to indemnify and hold harmless Nordlys, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• You may request export of your data within 30 days
• We may delete your data after 30 days

13. Governing Law and Disputes

These Terms are governed by the laws of Denmark, without regard to conflict of law principles.

For consumers in the EU, you may also have rights under the laws of your country of residence, and nothing in these Terms affects those rights.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
